1. Agreement to Terms
By accessing or using Circ AI (the "Service"), operated by Circ AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. For material changes, we will provide at least 30 days' advance notice via a prominent notice on the Service before the changes take effect. We will also update the "Last updated" date above. Your continued use of the Service after the notice period constitutes acceptance of the modified Terms.
2. Description of Service
Circ AI is an AI-powered circuit design platform that enables users to:
- Describe electronic circuits in natural language
- Generate SPICE (Simulation Program with Integrated Circuit Emphasis) netlists using artificial intelligence
- Run circuit simulations and visualize waveforms
- Export schematics in KiCad format
The Service is provided for educational, prototyping, and design exploration purposes. The Service is not intended to replace professional engineering review or certification.
3. AI-Generated Content Disclosure
Important: Circ AI uses artificial intelligence, including Anthropic's Claude models, to generate circuit designs, netlists, and related content. You acknowledge and agree that:
- AI-generated outputs may contain errors, inaccuracies, or "hallucinations"
- AI-generated circuit designs may not function as intended or may be unsafe if built
- All AI-generated content requires human review and verification before any use
- You must not rely on AI-generated designs without independent validation by a qualified engineer
- AI-generated content may not be eligible for copyright protection under current U.S. law
- We make no warranty that AI-generated designs do not infringe third-party intellectual property rights
Model Updates: We may update, modify, or replace the underlying AI models powering the Service at any time without notice. Such updates may result in different outputs for identical inputs. We do not guarantee consistency of AI-generated outputs across model versions.
Human Oversight: You acknowledge that you are solely responsible for implementing appropriate human oversight when using AI-generated circuit designs. The Service does not replace, and is not intended to replace, the judgment of a qualified electrical engineer.
Prohibited Applications: You agree not to use the Service to design circuits for medical devices, life-safety systems, aviation, nuclear facilities, or any application where failure could cause death or serious injury, without independent professional engineering review and certification.
4. User Responsibilities and Acceptable Use
You agree to:
- Use the Service only for lawful purposes and in compliance with all applicable laws
- Provide accurate information when using the Service
- Independently verify and validate all circuit designs before physical implementation
- Take full responsibility for any circuits you build based on Service outputs
- Not use the Service to design circuits intended to cause harm, injury, or illegal activity
- Comply with applicable export control laws (see Section 14)
You agree not to:
- Attempt to reverse engineer, decompile, or extract the underlying AI models or algorithms
- Use automated systems (bots, scrapers) to access the Service without authorization
- Circumvent, disable, or interfere with security features of the Service
- Attempt to "jailbreak" or manipulate the AI through prompt injection or similar techniques
- Abuse rate limits or attempt to overload or disrupt the Service
- Resell, sublicense, or commercialize access to the Service without written permission
5. Your Data and Intellectual Property Rights
Your Content: You retain ownership of the circuit descriptions, prompts, and original content you submit to the Service ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and transmit Your Content solely for the purpose of providing the Service to you.
No AI Training: We do not use Your Content to train, fine-tune, or improve any AI or machine learning models, whether owned by us or third parties. Your Content is processed solely to generate circuit designs in response to your requests. Note that our AI provider (Anthropic) does not use API data for model training.
AI-Generated Outputs: Subject to these Terms, you may use AI-generated circuit designs and netlists for your personal or commercial projects. However, we make no representations regarding intellectual property rights in AI-generated content. Under current U.S. Copyright Office guidance, purely AI-generated works may not be eligible for copyright protection. You assume all risk of third-party intellectual property claims and agree to conduct appropriate clearance before commercial use.
Our Property: The Service, including its software, design, user interface, documentation, and underlying technology, is owned by Circ AI and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.
6. Third-Party Services
The Service relies on third-party providers, including:
- Anthropic: Provides AI language models (Claude) for circuit generation. Your prompts and circuit descriptions are transmitted to Anthropic for processing pursuant to their terms and privacy policy.
- Vercel: Hosts our frontend application
- Render: Hosts our backend services
Your use of the Service is also subject to the terms and policies of these third-party providers. We are not responsible for the practices or policies of third-party services.
7. Disclaimer of Warranties
THE SERVICE AND ALL AI-GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; (B) AI-GENERATED CIRCUIT DESIGNS WILL BE ACCURATE, COMPLETE, SAFE, OR SUITABLE FOR ANY PURPOSE; (C) ANY CIRCUIT BUILT USING SERVICE OUTPUTS WILL FUNCTION AS INTENDED; OR (D) THE RESULTS OBTAINED FROM THE SERVICE WILL MEET YOUR REQUIREMENTS.
YOU ACKNOWLEDGE THAT ELECTRONIC CIRCUIT DESIGN INVOLVES INHERENT RISKS INCLUDING ELECTRICAL SHOCK, FIRE, COMPONENT DAMAGE, AND PERSONAL INJURY. YOU ASSUME ALL RISKS ASSOCIATED WITH BUILDING OR TESTING ANY CIRCUIT BASED ON SERVICE OUTPUTS.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CIRC AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THIS LIMITATION APPLIES TO DAMAGES ARISING FROM: (A) USE OR INABILITY TO USE THE SERVICE; (B) RELIANCE ON ANY AI-GENERATED CONTENT OR CIRCUIT DESIGNS; (C) PHYSICAL CONSTRUCTION OR TESTING OF ANY CIRCUIT; (D) PERSONAL INJURY, PROPERTY DAMAGE, OR EQUIPMENT FAILURE; (E) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIVE HUNDRED U.S. DOLLARS ($500).
This limitation of liability shall not apply to liability arising from our gross negligence or willful misconduct, or to any liability that cannot be excluded or limited by applicable law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Circ AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) any circuit you build or distribute using Service outputs where you failed to independently verify and validate the circuit as required by Section 4; (c) your violation of any rights of a third party; or (d) your violation of applicable laws.
10. Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. We may also modify features or practices to comply with applicable laws, regulations, or regulatory guidance, including AI-specific regulations. Such modifications shall not constitute a breach of these Terms.
We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably believe is harmful to other users or the Service. For terminations without cause, we will provide reasonable notice where practicable.
Data Export: Upon termination, you may request a copy of your circuit designs within 30 days by contacting us. After 30 days, we may delete your data without further notice.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Arbitration: Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation for at least 30 days. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.
Class Action Waiver: You and Circ AI agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You expressly waive any right to participate in class actions, class arbitrations, or representative actions.
Opt-Out: You may opt out of the arbitration and class action waiver provisions by sending written notice to contact@circai.ai within 30 days of first accepting these Terms.
Consumer Protection: If you are a consumer residing in the European Economic Area, United Kingdom, or Switzerland, this Section 11 shall not deprive you of mandatory consumer protection provisions under your local law, including your right to bring claims in your local courts.
12. Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, power failures, internet or telecommunications failures, cyberattacks, pandemics, or actions of third-party service providers including AI model providers.
13. General Provisions
Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Entire Agreement: These Terms constitute the entire agreement between you and Circ AI regarding the Service and supersede all prior agreements and understandings.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all assets, provided the assignee agrees to be bound by these Terms.
14. Export Controls
The Service is provided from the United States. You are responsible for compliance with applicable export control and sanctions laws, including U.S. Export Administration Regulations (EAR). You may not use the Service to design circuits for end-uses prohibited by U.S. export regulations, including weapons of mass destruction, or for prohibited end-users or destinations.
